Five years ago, winemakers did deals over lunch, and brokers didn't ask lawyers to tag along. Today, too much is at stake to sign a contract on the trunk of a car, according to Dan Cohn, a partner with San Francisco-based Farella Braun & Martel. "Now you've got to have lawyers because the money is so significant," he says. "A second- or third-grade [winery] could be worth 20 to 25 million."
