O'Melveny & Myers: HOMESTORE AGREES TO BUY MEMBERWORKS SUBSIDIARY

Homestore.com Inc. has agreed to buy Iplace Inc. from MemberWorks Inc. The cash-and-stock deal is worth $150 million. Westlake Village's Homestore.com, the official site of the National Association of Realtors, is an online real estate company. Its suite of Web sites - REALTOR.com, HomeBuilder.com and Move.com - provide information on all aspects of real estate and home buying.
