Court: Firm's Incorporation Site Doesn't Negate California Law
SAN FRANCISCO - In a case of first impression, the 4th District Court of Appeal has reinstated an insider-trading case against former officers and directors of bankrupt Peregrine Systems Inc., holding that, although the company was incorporated in Delaware, the defendants are still subject to a California securities law.
