Morrison & Foerster: French Lay Out $2.1 Billion For Carlton's Technicolor

Thomson Multimedia S.A. will buy Technicolor Corp. from Carlton Communications Plc. The cash and stock deal is worth $2.1 billion. Thomson, based in Boulogne Cedex, France, manufactures consumer electronics like televisions, camcorders, telephones, audio products, digital video discs players and professional video equipment. Its products are sold in more than 100 countries under brand names such as RCA, Saba and Ferguson. Two-thirds of the company's sales are in North America.
