Draft Choice-of-Law Provision Broadly to Ensure Protection

Focus Column - Business Law - By Marc Rappel - Many commercial contracts contain a choice-of-law provision stating that the parties' agreement shall be "governed by" a particular state's law. The courts routinely enforce such "governed by" clauses and apply the chosen state's law to any breach of contract claims that may arise between the parties. Many attorneys expect that the chosen state's law also will govern tort claims arising from the parties' contract.
