Judge offers guidance on how diverse board law could pass legal muster

“The Legislature did not take the simplest and most obvious next step: a disclosure requirement. That approach was not tried and found ineffective. It was found politically difficult and left untried,” Los Angeles County Judge Terry Green said.

A recent ruling striking down a California law requiring companies to include “unrepresented groups” on their boards was a major victory for opponents. But the judge in the case also offered lawmakers a way to encourage corporate boards in a way he said would pass constitutional muster.
