Twitter wants ex-employees’ lawsuit moved to Delaware

“Plaintiffs ignored a critical term within the merger agreement: the mandatory forum selection clause, which requires that all disputes arising out of the merger agreement or the transaction contemplated by the merger agreement proceed exclusively in the federal or state courts of Delaware,” Eric Meckley of Morgan Lewis & Bockius LLP argued.

Attorneys for Twitter Inc. urged a San Francisco judge Wednesday to dismiss a proposed class action by some of the 3,700 employees laid off by CEO Elon Musk, arguing contracts require the dispute to be heard in Delaware.

Musk’s company that acquired Twitter, X Holdings Inc. is headquartered there.
