Bonta approves OpenAI restructuring, saying he got concessions

California Attorney General Rob Bonta on Tuesday approved OpenAI's restructuring plan, allowing its for-profit arm to operate as a public benefit corporation after securing concessions on safety and charitable oversight.

After a heavy lobbying campaign, California Attorney General Rob Bonta approved the restructuring of the OpenAI Foundation in a statement Tuesday and will not sue to block it.

Bonta's decision will allow OpenAI's for-profit subsidiary - known as OpenAI Group PBC -- to operate as a public benefit corporation. That structure is similar to AI rivals Anthropic PBC and Elon Musk's X.AI Corp. and will allow the subsidiary to function as a more traditional corporation.
